1. Acceptance of these Terms

These Terms of Service (the "Terms") are a binding agreement between you and NextName, Inc., a Delaware corporation ("NextName", "we", "us"), governing your access to and use of the NextName websites, mobile applications, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you agree to these Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the consent of a parent or legal guardian. Certain parts of the Service — including acting as a creator or receiving payouts — require you to be at least 18 years old (or the age of majority in your jurisdiction) and to comply with additional requirements set out in the Athlete Agreement or School Agreement.

3. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate information and to update it when it changes. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

4. What you can do with the Service

The Service lets college athletes, schools, and teams publish channels of content for fans to follow, subscribe to, and support financially. You may use the Service only in compliance with these Terms, applicable law, and any additional rules we make available in-app or on nextname.io.

5. What you cannot do

  • Use the Service to post or share content that is illegal, infringing, harassing, hateful, sexually explicit, or that otherwise violates our Community Guidelines.
  • Misrepresent yourself, impersonate another person, or register an account on behalf of someone else without authorization.
  • Interfere with the operation of the Service, probe it for vulnerabilities, or attempt to access accounts or data that are not yours.
  • Use the Service to circumvent NCAA, conference, or school NIL rules that apply to you.
  • Scrape, resell, or commercially redistribute content from the Service without written permission from NextName and the content owner.

6. Content you post

You retain ownership of the content you post. By posting, you grant NextName a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote the content as reasonably necessary to operate and market the Service and to deliver paid content to fans who have purchased access. This license ends when you remove the content, except for copies retained by users who have already paid to access it.

7. Payments and payouts

All payments made on the Service are processed through our payments partner, Stripe, Inc. When you purchase a subscription, tip, or other paid content, you are contracting with NextName and Stripe for that transaction. When you are a creator receiving funds, payouts are made through Stripe Connect to the bank account you connect. Fees, payout schedules, and tax reporting are described in-app and in the Athlete Agreement or School Agreement. NextName does not charge fans a platform fee beyond what is shown at checkout; creator fees are disclosed in the creator agreement that applies to you.

8. Refunds and chargebacks

Digital goods and access passes are generally non-refundable once delivered. We may, at our discretion, issue refunds for failed delivery, duplicate charges, or other issues we consider material. If you initiate a chargeback that we consider unwarranted, we reserve the right to suspend your account and pursue the amount owed.

9. Third-party services

The Service integrates with third-party services, including Stripe, Firebase (Google Cloud), Apple App Store, and Google Play. Your use of those services is governed by their terms. We are not responsible for third-party services and their availability.

10. Termination

You may close your account at any time from Settings. We may suspend or terminate your access if you violate these Terms, if we are required to do so by law, or if we discontinue part or all of the Service. Sections that by their nature should survive (including content licenses for already-paid content, payment obligations, limitation of liability, governing law, and disputes) will survive termination.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. NextName does not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law, NextName will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid NextName in the 12 months preceding the event giving rise to the claim (or USD 100, whichever is greater).

13. Indemnification

You agree to defend and indemnify NextName, its officers, directors, employees, and agents from claims arising out of your content, your use of the Service, or your violation of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual action in small-claims court. You waive the right to participate in a class, consolidated, or representative action.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users and posted on nextname.io at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
